Method |
Obtain the company information page, filing history page and annual return from Companies House Direct website. Obtain the incorporation certificate and the Memorandum of Articles and Association. Agree the year end date and company number to the information page. Scan the filing history for new share issues, amended Articles and changes in directors’ details. Compare the issued share capital in the balance sheet and notes to the latest Annual Return. Compare the authorised share capital in the notes to the latest Articles. Ensure increases in issued and authorised share capital are disclosed in a note to the accounts (number of shares, nominal value of shares and proceeds) Ensure proceeds are split between nominal value and share premium. Compare directors who served in the year to the directors’ report (and their interests to the annual return, but no longer required). |
